SECTION 4 - Powers . <br /> <br /> The Roundtable shall have all of the powers gran ted it by the Act and other provisions of <br />Colorado and federal law applicable to the Roundtable; and said Board shall have such ancillary <br />and incidental powers as may be proper, necessary or convenient for the full effectuation of the <br />purposes, powers and objectives of the Roundtable. <br /> <br /> SECTION 5 - Votes . <br /> <br /> On all matters submitted to a vote of the Roundtable members, each member who is a <br />Representative under Paragraphs 1 through 23 of Section 1 above shall have one vote. The <br />Representatives on the Roundta ble identified under Paragraphs 24 through 27 of Section 1 above <br />shall not have a vote on any matter submitted to a vote of the Roundtable members. <br /> <br /> SECTION 5 - Performance of Duties . <br /> <br /> A Member of the Roundtable shall perform all duties of a Member, inc luding duties as a <br />member of any committee of the Roundtable upon which the Member may serve, in good faith, <br />in a manner which the Member reasonably believes to be in the best interests of Roundtable, and <br />with such care as an ordinarily prudent person in a like position would use under similar <br />circumstances. In performing the Member’s duties, the Member shall be entitled to rely on <br />information, opinions, reports, or statements prepared by representatives of state and regional <br />water agencies. The Member sha ll not be considered to be acting in good faith if he has <br />knowledge concerning the matter in question that would cause such reliance to be unwarranted. <br />A person who so performs the Member’s duties shall not have any liability by reason of being or <br />having b een a Member of the Roundtable. Those programs and groups upon whose information, <br />opinions, reports, and statements a Member is entitled to rely are: <br /> <br />(1) One or more officers or employees of the Roundtable whom the Member <br />reasonably believes to be reliabl e and competent in the matters presented; <br /> <br />(2) Counsel or other persons as to matters which the Member reasonably believes to <br />be within such persons’ professional knowledge or expertise; <br /> <br />(3) The Colorado State Engineer and his/her staff, the Division Eng ineers and their <br />staffs, the Director of Natural Resources and his/her staff, the Colorado Water <br />Conservation Board and its staff, and the Colorado River Water Conservation District <br />Board and its staff; and <br /> <br />(3) A committee of the Board upon which the Mem ber does not serve, duly <br />designated in accordance with the provisions of the By - Laws, as to matters within its <br />designated authority, which committee the Member reasonably believes to merit <br />confidence. <br /> 5 <br />
