SECTION 3 - Term of Office of Officers . <br /> <br /> The Chairman and Vice - Chairman shall serve for a term of two (2) years, and <br />shall hold their offices until their successors shall have been elected. The term of consecutive <br />service by the Chairman of the Membership shall not exceed three consecutive terms, i.e., not <br />exceed 6 consecutive years. A Member may again be elected to serve as Chairman after a break <br />in service of at least 2 years. The Vice Cha irmen and Secretary/Treasurer are not subject to any <br />term limitations. <br /> <br /> ARTICLE V - DUTIES OF OFFICERS <br /> <br /> SECTION 1 - Chairman . <br /> <br /> The Chairman shall be the Chairman of the Membership and shall preside at all <br />meetings of the Roundtable. Exce pt as otherwise provided herein or by Membership action, the <br />Chairman shall sign all documents involved in or concerning the business of the Roundtable. <br /> <br /> SECTION 2 - Vice - Chairmen . <br /> <br /> Each of the Vice - Chairmen shall act, in all things, and shall possess all of the <br />powers and be subject to all of the duties of the Chairman in the event of the latter's absence <br />from any meeting of the Membership, or his/her inability to act. <br /> <br /> SECTION 3 - Secretary /Treasurer . <br /> <br /> The Secretary shall be the secretary of th e Roundtable and all special and standing <br />committees of the Membership. The Secretary, or a designee working under his/her direction <br />and control, shall keep a record of all meetings of the Membership and all special and standing <br />committees of the Membersh ip. The Treasurer shall be the custodian of the funds of the <br />Roundtable and shall deposit those funds in a bank, or banks, as authorized by the Membership. <br />The Treasurer shall at all times keep an accurate and correct record of the funds of the <br />Roundtabl e, including the amounts and sources of all receipts and amounts and purposes of all <br />disbursements. The Treasurer shall cause an audit of the books of the Roundtable to be made <br />annually in compliance with Colorado governmental audit law or at such other t imes as the <br />Membership may direct by motion or resolution. The Treasurer shall sign all warrants, checks or <br />other instruments disbursing funds of the Roundtable. At each semi - annual regular meeting of <br />the Membership, the Treasurer shall provide a listing of the check number, payee, and amount of <br />each check issued on Roundtable funds for the period of time since the last listing for the last <br />regular meeting. The Secretary shall give notices of regular and special meetings of the <br />Roundtable and of all spec ial and standing committees of the Membership as required by these <br />By - Laws, by the Act or by the Open Meetings Law, and the Secretary shall retain such notices or <br />appropriate evidences thereof as part of the Roundtable's permanent records. <br /> <br /> 10 <br />
