<br />1) non-voting members and quorum: <br />Motion: Bill Brown: Under Section 7: Move to add language on quorum: <br />Mike Shimmins makes suggestion for language to accommodate group's concern <br />that a quorum is necessary to take a vote on any matter. <br />Article IV, Section 7, shall read: <br />Quorum: A majority of the total membership of the Roundtable shall constitute a <br />quorum at the annual meeting. All other meetings have a quorum of one third of <br />the total membership. If a quorum shall not be present at any meeting, a majority <br />of the members present may adjourn the meeting without filrther notice. A <br />quorum is necessary to take a vote on any matter. <br />Motion passes. <br /> <br />2) Bob Spencer: Article 5: We need a provision of advance notice if bylaws shall be <br />changed; currently, bylaws required 15 days notice for any meeting. <br />Mike Shimmins proposes language to fix it and makes motion to change Article <br />V to read as follows: <br />Article V: Amendments: <br />These Bylaws may be altered, amended, repealed or replaced by new bylaws upon <br />a 60% vote of any meeting of the South Platte Basin Roundtable, provided that <br />notice of proposed amendment was provided with that meeting. <br />Seconded by Bob Spencer. <br />Motion passes. <br /> <br />3) Discussion ensues about rules of conduct, reconsiderations of resolutions. <br />Simms explains that the bylaws have left open the rules of conduct: Article 4, <br />Section 11; in almost all rules of conduct there are provisions for reconsiderations <br />of resolutions; this is something we need to decide as a roundtable. <br /> <br />Discussion ensues about crucial role of level of trust for all involved in Round <br />Table. <br /> <br />4) Bob Spencer: Should bylaws address public education? <br />Article 1 Section 5 could address it. <br />Motion: Bob Spencer: Article 1: proposed language: <br />Article 1, Section 5: Public education and outreach: The South Platte Roundtable <br />shall develop an education, participation, and outreach plan to insure the public <br />has every opportunity to follow the progress of the Roundtable and to be able to <br />provide appropriate input to the Roundtable <br />Philip Shelton: Seconds <br />McVicker: Is this not part of our goals and objectives that will be discussed and <br />added through resolution? Discussion. Goals and objectives should include this <br />and use the statute as a guide. <br />Motion on public education does not pass: Vote: For: 10;; Oppose: 23 <br /> <br />5) Motion: Move to adopt bylaws as amended, giving trust to attorney scribes for <br />non-substantive changes.
