10) Section 8: Removal for cause: in addition, ifthis roundtable passes a resolution
and member does not show up.. . removal; also missing 3 meetings
unexcused.. . removal; but ample room in bylaws to allow for excused absence.
11) Article IV: Meetings and Governance: Annual meeting no later than 1/31 of each
year: Good idea to have meeting early in year because of General Assembly and if
we want to introduce or support legislation, we will be able to in a timely manner.
12) Article IV: Notification: reasonable time
13) Article IV: Section 2: Notice: Electronic notice allowed-touch base with
recorder;
14) Article IV: Section 3: Provision that one can attend by telephone: note that secret
votes would be tabled to special meeting because special meetings can exclude
participation by phone;
15) Section 4: Voting: Intent of General Assembly is for consensus is sought but to
define it is difficult; thus, wanted something other than simple majority so bylaws
say 60% majority to signal that some sort of super majority is closer to consensus
and a workable system than what we had before. Discussion per quorum ensues.
16) Section 5: Open meetings Act;
17) Section 6: Minutes should be lodged in Dept of Natural Resources;
18) Section 7: Quorum: 2 kinds: Annual Meeting: sets tone for year, election of
officers; looking for majority of official members: for all other meetings, quorum
would be 1/3 of membership; quorum defined by who is present at the beginning
of the meeting so quorum stays even if people leave; Discussion ensues;

20) Section 9: Vacancies: whoever appointed you would appt your vacancy;
21) Rule of Conduct: Section 11: Resolution: Roberts Rules of Order: Too formal?
Need discussion;
22) Article V: Amendments: 60% of vote of any meeting;

Discussion about quorum and non-voting members in bylaws:
Motion: Bill Brown: New language for a Section 3:
Section 3: Nonvoting Members: individuals who have or who represent entities that have,
water rights within the area encompassed by the South Platte Basin Roundtable or who
may have interest in and are knowledgeable about water matters, may be elected as non-
voting members of the Roundtable. Such non-voting members shall not be counted in
determining any quorum.

Discussion ensues.

Substitute Motion: Mike Shimmins: Nonvoting members shall be selected pursuant to
statute; they shall not be counted in quorum.
Fred Walker seconds;
Bill 1. clarifies process that we deal with substitute motion first, if it passes it would make
first motion moot;.
Substitute motion passes by 63 % of members present.
