The c hairperson shall also see that all notices are <br />duly given in accordance with the law and the provisions of the Bylaws. <br /> <br />Section 7. The Vice Chairpersons of the Roundtable . The Roundtable shall elect two (2) v ice <br />c hairp ersons. In the absence of the c hairperson or in the event of the death or inability or refusal to <br />act of the chairperson, one of the two vice c hairpersons shall perform the duties of the c hairperson <br />and when so ac ting shall have all the powers of and be subject to all the restrictions upon the <br />c hairperson. In the event of the resignation of the Roundtable c hairperson, one of the two v ice <br />c hairperson s shall be selected as the new c hairperson by majority vote. <br /> <br />Sect ion 8. The Recorder of the Roundtable . The Roundtable shall elect a r ecorder. The r ecorder <br />shall be custodian of the Roundtable’s records, and shall keep a list of the address of each m ember. <br />The r ecorder shall also perform, or cause to be performed: 1) all record keeping of the Roundtable; 2) <br />official recording of formal decisions of all Roundtable proceedings; and, 3) any other duties as may <br />be assigned by the Roundtable. <br /> <br />Section 9. Salaries . Neither the c hairperson nor the vice c hairpersons nor the r ecorder shall <br />receive a salary for their work on behalf of the Roundtable. <br /> <br />Section 10. Resignation . The c hairperson, vice c hairpersons and r ecorder may resign from their <br />office at any time by submitting a resignation in writi ng. Such resignation takes eff ect from the time of <br />its receipt by the Roundtable unless a date or time is fixed in the resignation, in which case it will take <br />effect from that time. Acceptance of the resignation shall not be required to make it effective. <br /> <br />A VI <br />RTICLE <br />D M <br />ECISION AKING <br /> <br />Section 1. Policy Decisions . A concerted effort will be made by the Roundtable to reach policy <br />decisions by consensus. <br /> <br /> A. Consensus. The goal of consensus is to respect and protect minority opinions on all issues. <br />When making a decision, the chairperso n will poll the Roundtable to determine: 1) Each <br />member has understood and believes he or she is understood by the other members <br />concerning the issue, and; 2) Each member expects to support, even if only by remaining <br />neutral and not actively undermining, t he consensus of the Roundtable on that issue, such <br />willingness to support, not to be construed as agreement. In other cases, one or more <br />individuals might wish to express a minority opinion, which shall be entered into the record, <br />but the item under discu ssion shall then move forward as approved in any case. <br /> <br /> B. Shift to voting . If the Roundtable cannot reach consensus, its members will use the <br />following procedure. The Roundtable may change its decision - making process from one <br />seeking consensus for or agr eement on an issue or proposal in question to a majority/minority <br />vote. The shift from one decision - making procedure to another will require a seventy - five <br />percent or greater majority attending the meeting in favor of the shift.
