Section 7 . Annual Meeting . An annual m eeting of the m embers shall be held during the month of
October in each year at a date, time and place determined by the m embers. Each m ember and the
public shall b e notified as set forth in Article VII of these b ylaws.

Section 8. Non - Represented Interests . Government agencies, individuals, local governments and
other organizations not directly represented by a m ember of the Roundtable are encouraged to
participat e in the Roundtable’s meetings; however, non - represented interests will not act as m embers
of the Roundtable.

Section 9 . Substitutes and Proxies member s shall not send a substitute or proxy to a Roundtable
meeting.

OUNDTABLE EADERSHIP

Sectio n 1 General Powers . The Roundtable l eadership shall have the power, consistent with
these b ylaws, to manage as necessary the business and affairs of the Roundtable. In addition to the
powers and authorities expressly conferred upon it, the Roundtable l eade rship may perform all lawful
acts which are not directed to be done by statute or by these b ylaws.

Section 2. Number, Election and Qualifications . The Roundtable l eade rship shall consist of one
(1) c hairperson, two (2) v ice c hairpersons and one (1) r ecor der. The chairperson , vice chairpersons
and r ecorder shall be voting m embers elected to offic e by a two - thirds (.67) of the m embers present at
the a nnual m eeting.

Section 3. Term of Office and Term Limits . The chairperson, v ice c hairpersons and r ecorder
shall be elected for a one (1) year term. Each person so elected shall hold office until the resignation
of such person or a successor shall be duly elected and qualified, until the death of such person, or
until removal of such person in the manner here in provided. An individual may serve no more than
two (2) consecutive terms in the same elected position but there is no limit on the total number of
terms served by an individual in the same office. There is no limit on the number of terms served in
any o ffice.

Section 4. Removal . Any member of the Roundtable l eadership may be removed by the
Roundtable from his or her l eadership position whenever, in the Roundtable’s judgment as expressed
by secret ballot, the best interest of the Roundtable would be serv ed thereby. Such removal shall be
by a two - thirds (.67) vote of the m embers present at a regular meeting of the Roundtable.

Section 5. Vacancies . A vacancy in any Roundtable l eadership position because of death,
resignation, removal, disqualification or otherwise may be filled by the Roundtable for the unexpired
portion of the term.

Section 6. The Chairperson of the Roundtable . The Roundtable shall elect a c hairperson. The
c hairperson shall preside at all meetings of the R oundtable. The c hairperson sh all be entitled to vote
