Section 7 . Annual Meeting . An annual m eeting of the m embers shall be held during the month of <br />October in each year at a date, time and place determined by the m embers. Each m ember and the <br />public shall b e notified as set forth in Article VII of these b ylaws. <br /> <br />Section 8. Non - Represented Interests . Government agencies, individuals, local governments and <br />other organizations not directly represented by a m ember of the Roundtable are encouraged to <br />participat e in the Roundtable’s meetings; however, non - represented interests will not act as m embers <br />of the Roundtable. <br /> <br />Section 9 . Substitutes and Proxies member s shall not send a substitute or proxy to a Roundtable <br />meeting. <br /> <br />A V <br />RTICLE <br />R L <br /> <br />OUNDTABLE EADERSHIP <br /> <br />Sectio n 1 General Powers . The Roundtable l eadership shall have the power, consistent with <br />these b ylaws, to manage as necessary the business and affairs of the Roundtable. In addition to the <br />powers and authorities expressly conferred upon it, the Roundtable l eade rship may perform all lawful <br />acts which are not directed to be done by statute or by these b ylaws. <br /> <br />Section 2. Number, Election and Qualifications . The Roundtable l eade rship shall consist of one <br />(1) c hairperson, two (2) v ice c hairpersons and one (1) r ecor der. The chairperson , vice chairpersons <br />and r ecorder shall be voting m embers elected to offic e by a two - thirds (.67) of the m embers present at <br />the a nnual m eeting. <br /> <br />Section 3. Term of Office and Term Limits . The chairperson, v ice c hairpersons and r ecorder <br />shall be elected for a one (1) year term. Each person so elected shall hold office until the resignation <br />of such person or a successor shall be duly elected and qualified, until the death of such person, or <br />until removal of such person in the manner here in provided. An individual may serve no more than <br />two (2) consecutive terms in the same elected position but there is no limit on the total number of <br />terms served by an individual in the same office. There is no limit on the number of terms served in <br />any o ffice. <br /> <br />Section 4. Removal . Any member of the Roundtable l eadership may be removed by the <br />Roundtable from his or her l eadership position whenever, in the Roundtable’s judgment as expressed <br />by secret ballot, the best interest of the Roundtable would be serv ed thereby. Such removal shall be <br />by a two - thirds (.67) vote of the m embers present at a regular meeting of the Roundtable. <br /> <br />Section 5. Vacancies . A vacancy in any Roundtable l eadership position because of death, <br />resignation, removal, disqualification or otherwise may be filled by the Roundtable for the unexpired <br />portion of the term. <br /> <br />Section 6. The Chairperson of the Roundtable . The Roundtable shall elect a c hairperson. The <br />c hairperson shall preside at all meetings of the R oundtable.
