SCOPE OF WORK AND FEE ESTIMATE FOR NATIVE AQUATIC SPECIES
RESTORATION FACILITY

e

This scope of work has been prepared for the development of plans and specifications
for the first phase of the Native Aquatic Species Restoration Facility proposed for
construction on the Chiles Property Site. The initial planning for this facility was
presented in the Concept Design Report (COR) prepared by FishPro, Inc. (FishPro),
submitted to the Colorado Division of Wildlife (COOW) in November 1996. The COR
showed the project proceeding in two phases with the first phase being a small start up
phase (Phase I) establishing basic facility functions and a second, larger, phase
(Phase II) significantly expanding the capacity of the facility as well as providing
provisions for visitation by the general public.

This scope was developed from a Scope of Work Outline previously submitted to
CDOW and is organized along the lines of FishPro's proposal to CDOW submitted
December 10, 1998.

In the "Approach" portion of the proposal for this project, FishPro proposed the design
aspects be broken into 7 discrete tasks. In subsequent discussions with CDOW there
are indications that a concept different than that presented in the COR is being
considered for the facility. Based on this some effort will need to be directed towards
the development of new concepts for the facility prior to moving into a design phase. In
these same discussions it was indicated that planning for future expansion should be e
performed to allow systems being constructed under the first phase of the project to
support an expanded facility. This too will require some effort as new concepts will
need to be incorporated into the planning for the Phase II facility.

At the request of CDOW we have prepared the following scope and associated fee
estimates based on the tasks presented in our proposed approach. We have
attempted to arrive at a fee for each task that representats the higher end of a fee
range that might be anticipated for the accomplishment of the work. We are of the
understanding that fees for each task will be negotiated as the project progresses as
the completion of each task will serve to define the requirements of the next task.

The scope of the work associated with each task is as follows.

1) Proqram Verification

This task will be conducted in two parts. The first part will be a two day meeting in
Denver at CDOW's office. Preparation for this meeting will include the development of
a list of questions to be discussed with CDOW. After the meeting we will follow up on
questions or discussions that require further investigation and present responses to
these and the results of the meeting in a Program Verification Report. Meeting Minutes
will also be prepared by FishPro to document decisions made in the meeting. This e
