which may include provision that questions relating to the inter-

pretation or performance thereof may be determined, to the extent

3 proYided therein, by arbitration or court proceedings; and that

4 the Secretary, in consideration of such termination of such exist-

5 ing Lease, is authorized to agree (a) that the lessees therein
6 named shall be designated as the agents of the United States for

7 the operation of said power plant; (b) that (except by mutual

8 consent or in accordance with such provisions for termination for

9 default as may be specified therein) such agency contract shall

10 not be reyocable or terminable; and (c) that suits or proceedings

11 to restrain the termination of any ~lch agenc.y contract, otherwise

12 than as therein provided, or for other appropriate equitable

13 relief or remedies, may be maintained against the Secretary; and

14 said Act further provides that suits or other court proceedings

15 pursuant to the foregoing provisions may be maintained in, and

16 jurisdiction to hear and determine such suits or proceedings and

17 to grant such relief or remedies is theroby conferred upon, the

18 District Court of the United States for the District of Columbia,

19 with the like right of appeal or review as in other like suits or

20 proceedings in said court; end

11. 'I'I'HEREAS, each of the lessees is willing to agree

22 to the tGrmination of the Lease upon condition that the operation,

23 maintenance, and making of rep18,cemcnts, however necessitated, of

24 the Boulder Power Plant be effected through the City and Edison

25 Company as operating agE;nts during the period ending May 31, 1987,
