(e) The parties have agreed at their joint expense to <br /> construct a roadway from Highway 133 to the Weaver Addition in <br /> accordance with the Garfield County road standards within the <br /> road right-of-way shown upon Exhibit "C" attached hereto. <br /> (f) Subject to coal haulage "Switchback Easement" to be <br /> reserved by Anschutz, it has been agreed that the roadway described <br /> upon Exhibit "C" will become a joint use roadway for Anschutz, for <br /> Redstone, and for their respective successors and assigns and that <br /> that part of Parcels 2 and 3 Northerly of said roadway shall be <br /> and become the property of Anschutz and that portion of Parcels <br /> 1, 1-A, 2 and 3 Southerly of said roadway will be and become the <br /> property of Redstone. <br /> (g) The parties have agreed to cooperate with each other <br /> with <br /> and with governmental authorities, and / the property owners to <br /> carry out the intent and purposes of this agreement including <br /> correction of survey discrepancies, Title defects and other <br /> impediments. <br /> THEREFORE in consideration of the promises and the mutual <br /> covenants herein contained, it is agreed as follows: <br /> 1. Redstone shall proceed to acquire title to Parcels 1, <br /> 1-A and 2 (Velasquez and Kinsall Parcels) in accordance with existing <br /> contracts between Redstone and those owners. <br /> 2. The parties will mutually use their best efforts and <br /> at their joint and equal cost, with each expenditure to be mutually <br /> approved, proceed to correct survey discrepancies, title defects and <br /> other impediments to construction of roadway according to Garfield <br /> County standards from Colorado Highway 133 extended Easterly to <br /> intersect the Weaver Addition with each party, its successors and <br /> assigns, to have full use thereof, and each party to have the right <br /> to dedicate the same to pu!)lic use as a County road. Each party will <br /> execute and deliver appropriate deeds and other documents necessary <br /> to carry into effect this provision. <br /> - 2 - <br />
