Drawer 790, Glenwood <br /> Springs, Colorado and THE ANSCHUTZ COAL CORPORATION (Anschutz) , 1110 <br /> Denver Club Building, Denver, Colorado 80202, <br /> W I T N E S S E T H: <br /> Recitals <br /> (a) Subject to title correction, Redstone has contracted <br /> to buy Parcels 1 and 1-A (Velasquez Parcels) and Parcel 2 (Kinsall <br /> Parcel) described upon Exhibit "A" attached hereto and title in- <br /> vestigation has disclosed that record title to part of the Velasquez <br /> parcels is shown in the name of Anschutz, including an area upon <br /> which is located a metal building which portion of tract was <br /> inadvertently not conveyed to Velasquez, and the parties hereto <br /> seek to correct that error by this Agreement. <br /> (b) Anschutz owns real property, adjacent to the Velasquez <br /> Parcels and Kinsall Parcel, described upon Exhibit "B" attached <br /> hereto as Parcel 3 subject to the above stated claim of Velasquez, <br /> and subject to claims in Civil Action No. 7757 now pending in the <br /> Garfield County District Court. <br /> (c) Prior to 1966 part of Parcel 3 was used as a coal <br /> loading site for the transportation of coal from the Thompson <br /> Creek Mines to the railroad. Anschutz contemplates coal loadout <br /> and transportation utilizing part of said Parcel 3 substantially <br /> in the manner heretofore used. The metal shop building and the <br /> land surrounding the same has been used by Velasquez and his <br /> lessees since it was erected prior to 1966, and Redstone upon <br /> acquiring title to the same expects to continue use thereof <br /> through its lessees. <br /> (d) The Town of Carbondale has requested that Anschutz not <br /> enter the property from the East, which involves using streets in <br /> the Town for its coal haul. The Town of Carbondale has further <br /> requested cooperation of the parties in developing and extending <br /> the roadway shown upon Exhibit "C" attached hereto and the parties <br /> have agreed to cooperate and assist in extending the same from <br /> Colorado Highway 133 to Eighth Street in Carbondale_ <br />
