This Consent Decree is entered pursuant to agreement by and between the <br /> Colorado Water Quality Control Division of the Colorado Department of Public Health and the <br /> Environment("WQCD")and Sunnyside Gold Corporation("SGC"). The parties hereby stipulate <br /> to the entry of this Consent Decree and to the jurisdiction of this Court. <br /> 2. Background <br /> a. SGC is a corporation duly organized and existing under the laws of the <br /> State of Delaware and having its principal place of business in San Juan County, <br /> Colorado. <br /> b. SGC owns an inactive mining property in San Juan County, Colorado, <br /> near the City of Silverton, commonly referred to as the Sunnyside Mine(the "Mine"). <br /> C.
