i <br /> 1. Statement of Work and Responsibilities. The Contractor shall do, perform,and carry out, in a timely and <br /> satisfactory manner,as determined in good faith by the CDPHE, all the work elements identified in <br /> "Attachment A","Scope of Services",which is incorporated herein by this reference made a part hereof, <br /> and attached hereto. All the work elements shall be completed in accordance with the time frames stated in <br /> "Attachment A",Schedule of Outputs",which is incorporated herein by this reference,made a part <br /> hereof, and attached hereto,and implemented in accordance with"Attachment A","Project <br /> Implementation Plan",which is incorporated herein by reference,made a part hereof, and attached hereto. <br /> 2 Payment Amount and Billing Procedure. In consideration of the obligation of the CDNR/DMG to <br /> satisfactorily perform in accordance with paragraph one above,the CDPHE shall transfer ONE <br /> HUNDRED TWENTY TWO THOUSAND TWO HUNDRED FIFTY DOLLARS, ($122,250.00),to <br /> the CDNR/DMG upon satisfactory completion of its performance pursuant to paragraph one above. <br /> A. The CDNR/DMG performance of the services required hereunder shall be under the direct <br /> supervision of Steve Renner,who is hereby designated as the CDNR/DMG's Project Director for <br /> this Contract. If,at any time during the term of this Contract,the CDNR/DMG's named Project <br /> Director is not assigned to this Contract,then the CDNR/DMG shall immediately notify the <br /> CDPHE in writing and all work under this Contract shall be suspended until a new Project <br /> Director,acceptable to the CDPHE,has been assigned by the CDNR/DMG to this Contract. <br /> B. During the term of this Contract, or any renewal or extension thereof,the Contractor shall submit <br /> to the CDPHE six(6)month progress reports detailing all the activities which the CDNR/DMG <br /> has completed under this Contract for the pervious six(6)month period. <br /> C. Match requirements, if any, shall be documented in accordance with 40 C.F.R., Part 31 and, Office <br /> of Management and Budget Circular A-87,as currently promulgated. <br /> D. The CDPHE shall make reimbursements to the CDNR/DMG only upon the CDPHE's receipt and <br /> approval of appropriate invoicing forms from the CDNR/DMG. The CDPHE shall not make <br /> progress payments under this Contract to the CDNR/DMG unless and until,the CDNR/DMG <br /> submits each six(6)month project status report required to be submitted under this Contract. Five <br /> percent(5%)of the total financial obligation of the CDPHE under this Contract shall be withheld <br /> by the CDPHE for the final payment under this Contract. A final report is required at the <br /> conclusion of all planned activities, a sample of which is incorporated herein by this reference, <br /> ____.—made_parthereof,_arrd_attache_d heretQ as"Attachment B"_._FinaI reports shall be submitted in <br /> draft form to the CDPHE for concurrence. Once concurrence is obtained,the contractor may <br /> publish and distribute the final report as appropriate. A final project performance report <br /> summarizing all the activities completed,and all the project costs incurred,by the CDNR/DMG <br /> shall accompany the CDNR/DMG's request for this final payment. <br /> F. When issuing statements,press releases,requests for proposals,bid solicitations, or any other <br /> documents describing the activities funded under this Contract,the CDNR/DMG shall clearly state <br /> on those documents the percentage of the total cost of the project which is financed with federal' <br /> funds. Also,the CDNR/DMG shall include the Colorado Department of Public Health and <br /> Environment in the credits of all public information and educational products that are developed <br /> under this contract. <br /> E. The CDPHE may prospectively increase or decrease the amount payable under this Interagency <br /> Contract through a"Change Order Letter",a sample of which is incorporated herein by this <br /> reference,made a part hereof,and attached hereto as"Attachment C". To be effective,the <br /> Change Order Letter must be: signed by the CDPHE and the CDNR/DMG; and,approved by the <br /> State Controller or an authorized designee thereof. Additionally,the Change Order Letter shall <br /> Page 2 of 10 <br />
