(ii) Purchasers shall within ten (10) days after written <br />notif ication of completion of any environmental <br />remediation specify any deficiency in such remediation. <br />(iii) The parties shall thereupon negotiate for settlement on <br />remediation measures specified and if agreement is not <br />reached within ten (10) days following delivery of <br />Notices specified in (i) and (ii) above, either party may <br />give notice of rescission, in which event the deposit <br />shall be refunded, and both parties released from all <br />obligations hereunder. <br />Said report shall include sedimentation pond for storm <br />drainage easterly of tract described on Exhibit A. <br />(e) Cancellation of Lease on the premises held by Pitkin Iron <br />Corporation and relinquishment of transfer or transfer of <br />Pitkin Iron Corporation's equity or interest in the Truck <br />Wash Facility. <br />2. Title Conditions. The property shall be conveyed subject to <br />existing easements, patent reservations, prior reservations of <br />mineral rights and zoning or other ordinances of the Town of <br />Carbondale. The property is subject to outstanding Tax Sale <br />Certificates, to be redeemed at closing. As an appurtenance <br />to the property, there shall be included all of the Seder's <br />interest in the existing well, piping and related facilities, <br />which serves the buildings on the property. <br />3. Closing. Closing shall occur at the offices of Stewart Title <br />of Glenwood Springs at a time me to be mutually agreed upon on <br />the later of the following dates: <br />(a) Sixty (60) days from the date hereof; or <br />(b) Thirty (30) days after receipt of acceptable Phase <br />Environmental Audit Report; cr <br />(c) Thirty (30) days subsequent to any required clean up cf <br />hazardous substances, pollutants and any other <br />requirements disclosed by Environmental Audi t, if such <br />clean up is required, or <br />(d) Fifteen (15) days following entry of Bar.Kruptcy Court /^� <br />Order approving sale of the premieres free and clear of <br />liens and encumbrances. <br />1 �irL P.10 <br />
