provided that Contractor shall not be required to employ full -time <br />security guards or otherwise contract with security services for <br />such guards. Contractor shall not be responsible for security of <br />Equipment used by Mid - Continent or others for reclamation purposes <br />as set forth in Section II.K below. <br />F. Administration. Handling and ShiDoinq. Contractor will <br />carry out all administrative sales and shipping functions connected <br />with the sale of the Equipment, including the handling and <br />processing of orders, decisions or evaluations of prospective <br />purchasers' credit, and the arrangement of trucking and other <br />shipping. <br />G. Bookkeeping. Booking and invoicing of the sold Equipment <br />will be accomplished by Contractor. All such bookkeeping relating <br />to the sales of the Equipment will be subject to audit, no more <br />frequently than once each month, during normal business hours on no <br />less than three (3) days notice by and on behalf of Mid- Continent. <br />Contractor will invoice purchasers of the Equipment and in turn <br />issue a copy thereof to Mid - Continent for its share of the proceeds <br />when collected. <br />H. Distribution of Sales Proceeds. All gross sales proceeds <br />from sale of the Equipment shall be deposited directly into an <br />account or accounts established for the purposes of this Contract <br />by Contractor; such accounts shall be titled "The Mid - Continent <br />Resources Trust Account Nos. 1, 2, etc." and shall be segregated <br />from all other accounts maintained by Contractor. Such accounts <br />shall be deposited with a federally- insured bank, and, to the <br />extent that the balance of the accounts at any single bank exceeds <br />one hundred thousand dollars ($100,000.00), such account balances <br />shall be bonded or secured in the manner required by 11 U.S.C. <br />045. Sales, use, gross receipts, and similar taxes, shipping <br />costs, and Costs of the Work shall be paid directly from such <br />accounts, or, if previously paid by Contractor from Contractor's <br />own funds, may be reimbursed to Contractor from such accounts at <br />Contractor's convenience. Contractor shall deduct such taxes and <br />other costs as hereinbefore described from the gross sales proceeds <br />and be responsible for paying and reporting the same, if and as <br />required, all of which shall be disclosed on the summary statements <br />supplied by Contractor to Mid- Continent. Remittances to Mid - <br />Continent by Contractor for equipment sold will be made monthly <br />from such accounts on or before the tenth (10th) day of each month <br />for the preceding month's receipts, accompanied by a summarized <br />accounting of such proceeds. With respect to each sale, Contractor <br />may receive payment of its Commissions from such accounts <br />simultaneously with the remittance to Mid - Continent of Mid - <br />Continent's share of the sale proceeds. <br />I. Removal of Structures. Contractor shall remove all <br />structures located at the Mine Site, including structures located <br />at upper portals, and located at the Load -Out Site. However, <br />Contractor shall not be required to remove any concrete pads on <br />which such structures are situated, or any cinder block and <br />concrete buildings.
