<br />ASSIGNMENT'
<br />In consideration of the amount of Ten Dollars ($10) and for
<br />other good and valuable consideration the P--- is
<br />hereby acknowledged, RESERVE COAL PROPERTIES COMPANY,
<br />(* "Assignor "), a Delaware corporation, having its principal
<br />office at 1800 Washington Road, Pittsburgh, PA 15241, hereby
<br />grants and assigns to COLOWYO COAL COMPANY, a Delaware general
<br />partnership ( "Assignee "), having its principal office at 5731
<br />State Highway 13, Meeker, CO 81641, all of Assignor's right,
<br />title and interest in that certain Federal coal mining lease
<br />described as follows:

<br />Containing 1,894.06 acres, more or less, excepting and
<br />.r
<br />.reserving, however, unto Assignor an overriding production
<br />royalty of 3.0 percent or the maximum overriding royalty
<br />allowable by applicable regulations, whichever is less, on the
<br />value of coal produced from the lease. The method of calculating
<br />and the schedule for paying royalty payments to Assignor shall be
<br />the same as the method and schedule for calculating and paying
<br />federal royalties under the lease, as determined by the terms of
<br />the lease and the applicable regulations as it or they may be
<br />amended from time to time, provided that, in determining the
<br />value of the coal for the purpose of calculating the royalty
<br />reserved to Assignor, black lung taxes, severance taxes,
<br />reclamation fees and any other fees and taxes which are now or
<br />may hereafter be imposed on coal production shall be deducted,
<br />and the federal royalty shall not be deducted. Assignor will not
<br />be paid an advance royalty. Assignee and its successors and
