<br />February 17, 2010 <br />Mr. Dick vonBemuth A?& <br />Project Manager AGGREGATE <br />Trollco, Inc. <br />INDUSTRIES <br />1625 Pelican Lakes Point, Suite 201 <br />Windsor, CO 80550 <br />Re: DRMS Permit No. M-1999-021 - Stegner Farms <br />Exit Agreement and Succession of Operator <br />Dear Dick: <br />This letter sets forth matters previously discussed and verbally agreed upon between Aggregate <br />Industries-WCR, Inc. (AI) and Trollco, Inc. (Trollco) with regard to AI's exit from the Stegner <br />Farms sand and gravel mining operation and proposed succession of operator of Division of <br />Reclamation, Mining and Safety Permit No. M-1999-021 from Al to Trollco. Upon your <br />execution of the acknowledgement below, this letter shall serve as the formal exit agreement <br />between Al and Trollco. Al and Trollco understand and agree as follows: <br />1. Al completed all of its mining activities on the site by December 31, 2008. <br />2. Al continued sales of stockpiled products through December 31, 2009 and all royalties <br />due and payable from Aggregate Industries to Trollco for such materials have been paid in <br />full. <br />3. AI's occupancy of the site and all rights to remaining stockpiled material terminated as of <br />December 31, 2009. All remaining stockpiled material after December 31, 2009 is the <br />property of Trollco and no payment is due from Trollco to Al for such material. <br />Additionally, Al sold the scale and scalehouse on the site to Connell for further use. Al <br />has given up possession of these items and Trollco agrees that Al is not responsible for <br />removal or disposal of these items from the site: <br />4. AI's reclamation obligation has been completed under the direction of Trollco and its <br />representatives in accordance with agreed upon physical field reclamation actions and all <br />such reclamation has been accepted by Trollco. <br />5. In addition to the previously agreed upon reclamation obligation of Al, Trollco requested <br />that Al rip, top-soil and seed to permanent grass cover an approximate twelve (12) acre <br />staging area on the site. Al and Trollco have agreed that the cost associated with this <br />reclamation is $35,000 and that Al shall pay said $35,000 to Trollco so that Trollco may <br />progress reclamation of the staging area in conjunction with Trollco's other reclamation <br />Aggregate Industries <br />West Central Region, Inc. <br />1707 Cole Blvd., Suite 100 <br />Golden, CO 80401 <br />Telephone: 303-985-1070 An Equal Opportunity Employer
