6. Other Mineral loterests. Lessor covenants and agrees that after the lease date Lessor <br />shall not lease, convey or grant any other mineral interests or rights in the Property (including without <br />limitation oil and gas) to any third party without the express inclusion in such lease, conveyance or <br />grant of a provision by which the rights of such third party are strictly subject to and subordinate to <br />those of Lessee. <br />7. Operative Provisions of This Lease. <br />(a) This Lease states the entire agreement between the parties and replaces all <br />oral and written representations, correspondence and agreements. No amendment or modification <br />of this Lease shall be binding unless made by a written instrument executed by Lessor and Lessee <br />and of equal formality. The terms and benefits of this Lease shall accrue to and be binding on the <br />successors, assigns, sublessees, heirs, executors, and administrators of the Parties. All notices by <br />Lessee to Lessor hereunder shall be considered effective upon personal delivery or upon deposit in <br />the U.S. mail, postage prepaid, addressed to address stated herein. If there should be more than one <br />party designated as Lessor(s), notice shall be considered sufficient under this Lease if given <br />personally or mailed to Frank E. and Mary Lou Morgan. <br />(b) " If and when requested by Lessee, Lessor shall execute a Memorandum Lease <br />so that Lessee may record same and give notice of the estate and rights received under this Lease <br />without, however, giving notice of the amount of the royalties and other matters hereunder which <br />Lessee considers confidential. Lessor shall not record this Lease. <br />(c) Lessee agrees to indemnify, defend and hold Lessor and its partners, officers <br />and employees and property manager harmless from and against any claim, loss or expense arising <br />out of injury, death or property loss or damage occurring pn the Property, except only to the extent <br />caused by the negligent act or intentional misconduct of Lessor or its partners, officers or employees <br />or property manager. <br />(d) Lessor agrees to indemnify, defend and hold Lessee and its partners, officers <br />and employees harmless from and against any claim, loss or expense arising out of injury, death or <br />property loss or damage occurring on the Property, except to the extent caused by the negligent act <br />or intentional misconduct of Lessee or Its partners, officers or employees. <br />
