715998 <br />Hill Paget 7 of 11 <br />I <br />11 11 i 02118!2004 09:19R <br />ll� G <br />„ C KRUSE, GLK &REC MONTROSE, CO LSE R 5 <br />U <br />to Lessee to correct same within thirty (30) days following receipt of such notice. <br />Lessor agrees to provide, to and for Lessee, consents to road relocations and <br />closings and any other consents, acknowledgments, affirmations, and waivers and <br />relinquishments required by present and/or future laws (which Lessor is legally capable of <br />providing) to enable Lessee to exercise its Rights and enjoy its leasehold estate hereunder. <br />As long as Lessee is accountable to the terms of this lease and to the state and federal <br />laws governing reclamation of the property, Lessor agrees to refrain from interfering with, <br />delaying or obstructing Lessee's exercise of any of its Rights hereunder, or similar rights on <br />other lands by any means whatever including by filing protests or making objections to <br />governmental agencies regulating Lessee's business. <br />Lessee shall also have, and Lessor hereby grants to Lessee, the option, for ten (10) <br />years after the expiration or termination of this Lease, to lease temporary rights -of -way on <br />the New Benson Property for facilities for any requirement of its mining activities in the <br />township(s) in which the New Benson Property is situated, and any township contiguous to <br />said township(s). Rental for such rights -of -way shall promptly be agreed upon by the <br />Parties, but failing such agreement, rentals shall be determined by an independent and a <br />licensed real estate appraiser mutually selected by the Lessor and Lessee, or in default <br />thereof, by the Recorder of Deeds in the county in which the New Benson Property, or a <br />major portion thereof, is located. <br />Lessor shall pay all taxes and assessments on the New Benson Property and <br />Lessee shall pay all taxes, for or with respect to its equipment and improvements, together <br />with all taxes relating to, or arising by virtue of, Lessee's mining activities.
