3. If, in the sole discretion of the Ouray County Road and Bridge <br />Superintendent, it is determined that the material is unusable by Ouray County, Ouray <br />County will be under no obligation to acquire or remove any material from the Ruby <br />Trust mine. <br />4. When possible, given labor and equipment constraints, employees or <br />agents of the Ruby Trust mine will assist in the loading and handling of the material. <br />5. Ouray County will provide at least a twenty-four hour verbal notice to the <br />Ruby Trust mine prior to beginning work to acquire the material. Representatives of the <br />Ruby Trust mine will ensure that access to the site is available during normal Road and <br />Bridge operating hours (generally 6:00 am to 4:30 pm Monday through Thursday). <br />6. Mount Sneffels Mining Company, LLC shall save, hold harmless, defend and <br />indemnify the County, its public officials, employees, agents, representatives, and contractors <br />for losses, damages or judgments and expenses, including reasonable attorneys fees and <br />costs, on account of fire or other peril, bodily injury, death or property damage of any nature <br />whatsoever, and by whomsoever made, arising, in whole or in part, out of the activities of <br />Ouray County, its employees, subcontractors or agents performed according to the terms of <br />this letter agreement. <br />Nothing stated herein is intended to nor shall it be interpreted as diminishing or otherwise <br />affecting any statutory or common law protection or immunity that Ouray County may <br />otherwise enjoy, including, but not limited to, the governmental immunities, limitations and <br />protections provided by G.R.S.
