? ii <br />1. Elections of Board of Directors for 2009: Randy moved and Dave 2nd to <br />have the officers remain the same as 2008. Motion was passed. Dick, <br />President; Tom, Vice President; and Deb, Secretary/Treasurer. <br />2. Discussion was held regarding Director Fees. Several amounts were <br />brought to the table. Deb felt $500.00 was too much. Dick recommended <br />$350.00 and Randy moved and Tom 2"d to set the fees to $350.00. Motion <br />passed. <br />3. Farm manager. With members now owning the controlling interest of <br />farm. A new manager will need to be appointed. Dave moved and Randy <br />2nd to elect Deb as manager. Motion passed. Dick has checked with both <br />Bank of Colorado and the FSA office to see if anything needs to be changed <br />with Doris no longer being the manager and Deb taking over. Bank of <br />Colorado said there would be nothing that needed changed at this time. <br />FSA also said nothing needed to be changed at this time. <br />4. Hutchins and Dennis Oberhelman have recommended that since Dick is <br />living on the home place, that the family needs to decide how they want to <br />proceed in the future. All members were asked if they would want to live <br />on the home place in the future. Dick was the only one who expressed an <br />interest in keeping the 20 acres of the home place as his part of the estate <br />some day. Deb will check with att. Nicole to see what we would need to do <br />to proceed with that arrangement. Deb recommended that we have some- <br />type of clause that would stipulate that if something happened to Dick or- <br />he financially could not keep the place, that the other 4 members had the <br />first right to buy back the 20 acres of the home place. All agreed. <br />5. Dick brought up the subject of paying Deb for the work she does for the <br />farm. Deb said that she had been keeping track of her hours and would like <br />to use those hours to repay Doris for the $4500.00 that she owed Doris. <br />6. Lyle Smith has ask to have his farm land lease contract extended for 2 more <br />years, so that he can fertilize. Deb moved and Randy 2nd to approve the
