EASEMENT AGREEMENT <br />THIS EASEMENT AGREEMENT ("Agreement") is made this J day of <br />Mav. 2009, by JAK VENTURES, LLC, a Colorado limited liability <br />company ("JAK Ventures"), and CRAIG AND CYNTHIA REID ("the Reids"). <br />RECITALS <br />A. The Reids own Lots 1 and 2, Section 33, Township 12 South, Range 99 West of <br />the 6`h PM, in Whitewater, Mesa County, Colorado ("Reid Property"). The lots are government <br />lots and designated as such on U. S. government surveys. <br />B. JAK Ventures owns property consisting of five separately described tracts or <br />parcels of land ("JAK Property"), part of which, described below as Parcel 5, adjoins the Reid <br />property on the north and west boundaries of Lots 1 and 2. The JAK Property is legally <br />described on Exhibit A, attached hereto and incorporated by this reference. <br />. C. The parties wish to define each other's easements across the property of the other, <br />which will be collectively referred to as the "Easement"or "Easements." and to vacate earlier <br />easements as provided herein, subject to the terms and conditions set forth below. <br />D. The parties wish to grant and convey to each other cross-easements along certain <br />existing roads on their respective properties. For convenience, the easements are marked on a <br />map ("Map"), which is attached as Exhibit B and incorporated by this reference. <br />NOW, THEREFORE, in consideration of these Recitals, and other good and valuable <br />consideration, the sufficiency of which is hereby acknowledged, the parties agree as follows: <br />Conveyance of Easements. <br />a. JAK Ventures grants to the Reids an easement for ingress and egress <br />through Parcel 5 of the JAK Property from Highway 141 to the north border of Lot 1 of the <br />Reids property. The legal description for this easement is attached as Exhibit C and is identified <br />with a "C" on the Map, and will be subject to other conditions and restrictions set forth below. <br />b. The Reids grant to JAK Ventures, for the use of Parcels 1, 2, 3, 4, and 5 of <br />the JAK Property, an easement across Lots 1 and 2, from the point where an existing road <br />crosses the north boundary of Lot 1 on the Reid Property and proceeds in a southerly direction to <br />the southern boundary of Lot 2 on the Reid Property. The legal description of this property is <br />attached as Exhibit 9, and is marked on the Map with a I'D." This easement will be subject to <br />other conditions and restrictions set forth below. <br />C. JAK Ventures grants to the Reids an easement from Highway 141 through <br />Parcel 5 of the JAK Property. A legal description of this easement is attached as Exhibit E, and <br />is marked with an "E" on the Map. Any prior rights of access granted in earlier instruments or <br />by customary usage are vacated. Copies of these vacated easements are marked with an "E-1". <br />and "E-2" on the Map. <br />CGS
