<br />THIS AGREEMENT made this 7th day of January 1986, <br />by and between WEST ELR COAL COMPANY, INC. (hereinafter called <br />"i'dest Elk") and BEAR COAL COMPANY, INC. (hereinafter called <br />"Bear"). <br />WITNESSETA TART: <br />WHEREAS, the parties are mining in close proximity to one <br />another pursuant to permits issued by the State of Colorado; <br />and <br />WHEREAS, by virtue of such permits, both parties may mine <br />different coal seams underlying the same area; and <br />WHEREAS, the parties wish to provide for the mitigation <br />of any damage as required by the Colorado tdined Land Reclamation <br />Division in certain areas including that in which their permits <br />("Permits") overlap which damage may be caused by subsidence <br />due to coal mining operations and which, by its nature, is <br />difficult to ascribe to either party; and <br />WHEREAS, the Colorado Mined Land Reclamation Division has <br />asked the parties to reach agreement concerning mitigation of <br />such damage. <br />NOW, THEREFORE, in consideration of the premises and mutual <br />covenants hereinafter set forth, the parties agree as follows: <br />1 <br />
