Lessors understand that in order to conduct mining operations hereunder, Grace may be required to obtain mining permits, rezoning and other appropriate approvals from the StaCe of Colorado, Routt County, and the appropriate agencies having jurisdiction. Lessors desire to encourage Grace in such efforts, and, to that end, Lessors consent to such efforts by Grace and agree to support and cooperate fully with Grace in such efforts, Grace to pay all costs incident to such permits. • B. Development of Other Minerals. Lessors agree t that they will not, personally or by agreement with any person or entity other than Grace, explore for, develop or extract minerals from the Property without Grace's prior written consent (which consent shall not be unreasonably withheld), and in any event in any way which would be incon- sistent with Grace's rights under this lease or which would adversely affect its operations hereunder, it being the intention of the parties that Grace's rights under this lease to extract coal from the Property shall be dominant and shall not be hindered in any way by activities o£ any other person or entity directed toward the exploration, development or extraction of any mineral other than coal. It is agreed that Grace will not object to, or withhold its written consent as a result of, the provisions of any such agreement relating to rental, royalty or other payments to Lessors since Grace has no financial interest in the minerals other than coal, oil l and gas. -5-
