any objection to venue of any action instituted hereunder), if (i) served personally or by <br />certified mail to each other party at its respective address set forth in this Agreement, or <br />(ii) as otherwise provided under the laws of the State of Colorado. <br />19. Waiver of Jury Trial. Without limiting the terms of Section 12 <br />hereof and subject to the terms thereof, each of Grantor and Grantee irrevocably waives <br />any and all rights each such party may have to a trial by jury in any action, proceeding or <br />claim of any nature relating to this Agreement, any documents executed in connection <br />with this Agreement, or any transaction contemplated herein. Each of the parties <br />acknowledges that the foregoing waiver is knowing and voluntary. <br />20. Interpretation; Construction. Unless the context otherwise clearly <br />requires: <br />(a) The definition of terms herein shall apply equally to the <br />singular and plural forms of the terms defined. <br />(b) Whenever the context may require, any pronoun shall include <br />the corresponding masculine, feminine and neuter form. <br />(c) The words "include", "includes" and "including" shall be <br />deemed to be followed by the phrase "without limitation." <br />(d) The word "will" shall be construed to have the same meaning <br />and effect as the word "shall." <br />(00907205.1) <br />l1_~ <br />3-4,61 <br />
