15. Permits and Bondine. Grantee shall obtain and maintain during the <br />term of this Agreement such permits and provide such bonds with the appropriate <br />government agency, if required, to cover the areas affected by its use of the Tl-IR as may <br />be required by or available under applicable law. <br />16. Setoff. Grantee hereby agrees that Grantor shall have the right to <br />setoff, net, deduct and/or recoup any amounts owed by Grantee under this Agreement <br />against any amounts owed by Grantor under any other agreement. <br />17. Governing Law. This Agreement shall be governed by, and <br />construed in accordance with, the laws of the State of Colorado applicable to contracts <br />executed in and to be performed in that State. <br />18. Consent to Jurisdiction. Without limiting the terms of Section 12 <br />hereof and subject to the terms thereof, each of Grantor and Grantee agrees that any <br />action or proceeding commenced by or on behalf of any party hereto arising out of or <br />relating to this Agreement shall be commenced and maintained in the District Court of <br />the United States for the District of Colorado, or the Circuit Court of Routt <br />County, Colorado, or any other court of applicable jurisdiction located in Colorado. The <br />parties also agree that a summons and complaint commencing an action or proceeding in <br />any such Colorado court by or on behalf of such parry or parties shall be properly served <br />and shall confer personal jurisdiction on a party (to which jurisdiction each party <br />consents and submits itself, waiving any objection based upon forum non conveniens and <br />{co9onos.i} <br />3-4.60 <br />
