Compensation fund of Colorado or otherwise provide workers' compensation coverage <br />for its employees. <br />8. Prohibition Against Assignment. Neither this Agreement nor any of <br />the rights granted herein may be assigned or otherwise transferred by Grantee, in whole <br />or in part, by operation of law or otherwise, without the prior written consent of Grantor. <br />A sale or transfer of the stock, membership units or other ownership interests in Grantee <br />shall be deemed to be a prohibited transfer hereunder. <br />9. Default and Termination. (a) If (1) Grantee shall fail to pay when <br />due any required payments under Section 4 hereof and such failure is not cured within <br />fifteen (15) business days after written notice thereof is received from Grantor; or (2) <br />Grantee shall fail to (i) comply with any applicable law or regulation or any of the <br />provisions of any permit applicable to the 'IT~R, (ii) pay the cost of abating violations <br />and/or to reimburse Grantor for fines, assessments or penalties paid by Grantor for said <br />violations, in accordance with Section 6 hereof, (iii) maintain acceptable insurance <br />coverage as set forth in Section 7 hereof, (iv) maintain workers' compensation coverage, <br />or (v} perform any other obligation imposed upon Grantee hereunder or comply with any <br />other term or provision of this Agreement, and in any such case such failure continues <br />without cure for a period of twenty (20) days after receiving written notice thereof from <br />Grantor, then, in any such event, Grantor shall have the right to terminate this Agreement <br />upon written notice to Grantee.
