(b) Upon termination of this Lease, Lessee shall continue <br /> to be liable for the performance of all obligations and the <br /> satisfaction of liabilities to Lessor including, but not limited <br /> to, payment of royalties and compliance and the complete <br /> reclamation plans, laws and regulations, respecting the Leased <br /> Premises which have accrued prior to the date of such <br /> termination. No royalties shall accrue under this Lease after <br /> termination based upon Lessee' s continuing obligation to reclaim <br /> the Leased Premises . <br /> (c) If Lessee fails to pay when due any amounts payable <br /> hereunder, Lessor may at its option give Lessee written notice of <br /> such failure and Lessee shall have ten ( 10) days in which to pay <br /> the amounts owing to Lessor. If Lessee fails to pay the amount <br /> owing to Lessor within that ten (10) day period, Lessor may, at <br /> its option, declare Lessee in default and terminate this Lease . <br /> (d) Upon termination of this Lease by either party hereto, <br /> all sums paid hereunder to Lessor shall remain the property of <br /> Lessor and shall not be recoupable or refunded, except to the <br /> extent that they have, as of the effective date of the <br /> termination, already been recouped or refunded. <br /> (e) In the event Lessee becomes insolvent, becomes the <br /> subject of a proceeding under the Bankruptcy Act, or assigns any <br /> of its assets for the benefit of creditors, such occurrence shall <br /> be considered a default hereunder . <br /> 13 . MUTUAL RIGHT TO PAY LIENS. <br /> (a) If any indebtedness, including taxes, of Lessor which <br /> may become a lien against the Leased Premises during the term of <br /> this Lease, should not be paid when due, then Lessee, at its <br /> option, may pay the same if necessary to protect its rights <br /> hereunder, and for all payments so made, Lessee shall be <br /> reimbursed by deducting such amounts from royalties or payments <br /> next becoming due to Lessor. <br /> (b) If Lessee fails to pay or satisfy and discharge any <br /> tax, mortgage or lien chargeable to Lessee, or permits any lien <br /> or encumbrance to be imposed on the Leased Premises, as a result <br /> of its operations on the Leased Premises or its performance of <br /> the covenants and agreements contained herein, Lessor may, at its <br /> option, pay and discharge any such tax, mortgage, lien or <br /> encumbrance . Lessor shall, to the extent of any payment so made <br /> and without further action on its part, have a lien against the <br /> assets, equipment and property of Lessee located on the Leased <br /> Premises . The rights of Lessor under this paragraph shall <br /> survive the termination or expiration of this Lease . <br /> 10 <br />
