<br />C. At any time while the Company is conducting operations on the <br />Property, Lessor may propose that Lessor conduct stripping and/or reclamation operations for the <br />Company on the Property. Such proposal shall set forth the economic terms on which Lessor will <br />perform such operations or caused them to be performed, and shall set forth a description of the <br />equipment, contractors, labor and other resources Lessor proposes to employ to conduct such <br />operations. The Company shall advise Lessor of its mine plan in connection with such operations, <br />and shall give Lessor the opportunity to make a bid if the Company elects to contract for any such <br />work. The Company shall not be compelled to accept any proposal or offer by Lessor to conduct <br />such operations, and need not accept any bid for such work, even if Lessor offers the low bid. The <br />Company's sole obligation in this regard shall be to give Lessor the opportunity to offer to perform <br />such work and for the Company to give fair and full consideration to any such bid or proposal made <br />by Lessor. <br />8.
