The Seller states that, to the best of her knowledge: <br />1. That Seller is not aware of any claims, proceedings, <br />inquiries, investigations, and/or complaints by <br />governmental entities that the property is in <br />violation of any zoning code, ordinance, statute, or <br />any other governmental regulation; <br />2. That no claim, lawsuit, action, or other litigation <br />is in existence relative to the property, and Seller <br />agrees to indemnify and hold Purchaser harmless from <br />any liability, includin; attcrney's fees and court <br />costs, due to Maims arising from events occurring <br />prior to closing relative to any tenant dispute, <br />lease, agreement, dispute, injury or item of damage; <br />3. That Seller has not entered into an,y lease which has <br />a term in excess of three months relative to the <br />property, nor has Seller granted any option to any <br />party for the purchase of the property, whether by <br />a lease or otherwise, which is presently in effect; <br />4. That Seller has made no misstatements of fact nor has <br />she failed to disclose any facts either in this anree- <br />ment or in the negotiations leading un to this agree- <br />ment which could mislead the Purchaser; <br />E. Purchaser shall have the right to assign all of its right, <br />title, and interest to an,y partnership of which Albert R. <br />Frei and/or assigns is Managing General Partner, and upon <br />such Assignment, the Assignee shall be deemed to be the <br />original party to this Agreement and the Purchaser shall <br />have no further obligation in connection herewith. <br />F.
