When all mining has been completed on the lands described in exhibits "B", "C-1", and "C-2", then Lakewood further agrees to grant or otherwise assure Robco a sixty (60) foot road easement for access from the northerly portion of the property described in exhibit "C-1" to West Alameda Parkway, directly or indirectly, at a place to be mutually agreed to by Robco and Lakewood. Robco acknowledges that Alameda Parkway may be widened in the future and agrees that it will leave an average setback of fifty (50} feet between the southern edge of the Alameda right-of-way and the area upon which mining or reclamation activity occurs in order to assure proper stabilization of the future roadway.. The specific setback line shall be established in the amended mining permit application, to be reviecved by Lakewood, and shown as the affected land boundary. 6. CLOSING: Closing on this Agreement and conveyance of the mineral interests and rights described herein by general warranty deed shall occur on or before August 1, 1983. 7. GENERAL PROVISIOtdS: a} This constitutes the entire Agreement between the parties. Any amendments to this Agreement shall be in writing and executed by both parties. b) This Agreement shall be governed and construed according to the laws of the State of Colorado, ar~d venue for any proceedings or actions under this Agreement shall be in the District Court of Jefferson County, Colorado. -3-
