VI. PROTECTION OF PREMISES <br />Lessee agrees to maintain at its cost existing fencing and gates not designated for <br />removal. Gates will be kept locked during the hours of darkness and at all times when the <br />Leased Property is not occupied by Lessee's personnel. <br />VII. PAYMENT OF TAXES <br />Lessor agrees to pay all real estate taxes levied against the Leased Property before <br />they become delinquent. In the event that the Lesser fails to pay the taxes, Lessee may, at its <br />option, pay any taxes and assessments that may be levied against the Leased Property and <br />deduct the amount of tax payments, together with any penalties or interest required to be <br />paid, from any amount due or to become due to Lessor. <br />VIII. REMOVAL OF IMPROVEMENTS AND EOLTI_PMENT <br />All improvements and equipment placed on the Leased Property by Lessee shall <br />remain the property of Lessee, and Lessee shall have the right to remove the property prior to <br />the expiration of this Lease so long as no monetary defaults exist. On termination of this <br />Lease for any cause other than nonpayment of royalties or annual minimums hereunder, <br />Lessee shall have the right to remove all such improvements and equipment within one <br />hundred twenty (120) days from the date of termination. If the Lease is terminated for the <br />non-payment of royalties or annual minimums, upon payment by Lessee of any delinquent <br />royalties or annual minimums, Lessee shall then have the right to remove all such <br />improvements and equipment within sixty (60) days thereafter. Lessee shall have one <br />hundred twenty-(120) days from the date of. termination to remove any materials mined and <br />processed but not removed on the date of termination subject to payment of royalties as <br />provided in this Lease. <br />IX. INDEMNIFICATION <br />Lessee agrees to indemnify Lessor against liability, including any resulting costs <br />and/or attorneys' fees, on all claims for damages and injuries to person or property that are <br />claimed to have resulted from the activities or omissions of Lessee or its agents or employees <br />during the terms of this Lease. Lessor agrees to indemnify Lessee against liability, including <br />any resulting costs and/or attorneys' fees, for any breach of the warranties set forth in Section <br />XVI. <br />X. EXCLUSIVE RIGHTS <br />Lessor agrees that during the term of this Lease, including renewal periods, Lessee <br />shall have the exclusive right and option to purchase and remove any and all sand, gravel, <br />rock and/or dirt upon the Leased Property. <br />
