C. The purchase price includes all the above des-
cribed property and water tights plus all tools,
attached buildings, pacts, supplies, old and new
equipment or any other property considered as
part of the Mill or Mill Sites, stated o[ implied.
WARRANTY:
D. The first party hereby warrants and agrees to
defend the title to the Mill 6 Mill Sites, water
rights and all property referred to in the above
mentioned property described therein warrants
unencumbered ownership. Pay all taxes due thru
1989. Buyer shall also have the rights to retain
from any payments which would otherwise become due
or payable to the first party hereunder and thereby
make payment of any such taxes, mortgage or other
liens and retention of such sum or sums for payment
shall have the same effect as if the amounts thereof
were paid directly to the sellor in whose behalf
such payment was made. In case of a suit, adverse
claim to the property, dispute or questions as
to the ownership of any of the above mentioned
properties of the right to receive any portion
of the monies payable under this instrument,
tl,e portion of monies as to which no question
has been raised shall be paid to an escrow account
and shall remain there until the suit, adverse
claim, dispute or questions as to ownership of
properties has been settled.
RIGHT TO LEASE:
E. The 2nd party shall have the right under this
' instrument [o lease all or any part of the above
properties to Central City Consolidated Corp.,
during this three year period.
