f <br />2. This Court, as a unit of the United States District <br />Court for the District of Utah, Central Division (the "District <br />Court"), has jurisdiction over the Reorganized Debtors' chapter 11 <br />cases and over this proceeding under 28 II.S.C. § 1334 (a) and (b). <br />This motion is a core proceeding under 28 U.S.C. § 157. <br />3. There are a number of outstanding disputes and <br />proceedings involving the parties to the Settlement Agreement. <br />These disputes as a group represent one of the largest outstanding <br />unresolved claims matters in the Reorganized Debtors' cases. The <br />comprehensive resolution of these disputes and proceedings <br />contemplated by the Settlement Agreement will remove one of the <br />remaining obstacles to completion of the cases and distributions <br />to unsecured creditors. <br />4. In summary, the outstanding disputes and proceedings <br />among the parties include the following: <br />a. Adversary Proceedings. CF&I Steel Corporation's <br />("CF&I Steel") Adversary Proceeding No. 92PB-2129 (the "Adversary <br />Proceeding") against the United Mine Workers of America 1974 <br />Benefit Plan and Trust and its Trustees (the "1974 Plan") and the <br />United Mine Workers of America (the "UMWA"), in which CF&I Steel <br />alleged that it was no longer obligated to provide non-pension <br />benefits to retired United Mine Workers formerly employed by CF&I <br />Steel and asserted avoiding actions against the 1974 Plan and the <br />Combined Fund as the successor by merger of the 1974 Plan. The <br />Court earlier granted summary judgment in favor of CF&I Steel on <br />most issues by a memorandum decision reported at 163 B.R. 858 <br />3 <br />
