In Utah, numerous large Chapter 11 reorganizations
involving corporate affiliates have been undertaken 'by a single
law firm (or firms where both local Utah counsel and a firm
outside Utah were employed) representing all of the debtors.Z
3. This practice is based upon a sound interpretation
of the Bankruptcy Code as well as considerations of practical
economy: "The willingness of the courts to permit multi-debtor
representation, subject to the factual circumstances presented in
a particular case, demonstrates a recognition of modern business
organizations." 2 Collier on Bankruptcy y 327.03 at 327-37 to
327-38 (15th ed. 1990). ,~p,,.g ggneraiiv, 2 Collier on Bankruptcy 4
327.03 at 327-33, ("The case law suggests that, rather than
disapproving of multi-debtor representation as a Der ~e conflict,
(...continued)
427 F.2d 186, 187 (2d Cir. 1970) (single trustee appointed for
corporation and three wholly-owned subsidiaries in failed Chapter
XI cases; existence of intercompany debts insufficient "to saddle
these estates with the expense of separate trustees and trustees'
attorneys at the present time"); In re OPM Leasino Services, 16
Bankr. 932 (Bankr. S.D.N.Y. 1982) (intercompany claims between
parent and subsidiary corporations did not prevent one person
from serving as trustee for both).
= In the cases of Terraeor and its ten subsidiaries the
debtors were jointly reprssented by the law firms of Fabian i
Clendenin, Butler Fitzgerald i Potter and Sidley i 1-ustin. In
the cases of Ruti-Sweetwater. inc., and its seven affiliates the
debtors were jointly represented by the law firms of LeBoeuf,
Lamb, Leiby i MacRae and Sidley i Jlustin. In the cases of
l~meriean-Strevell. inc., and its two wholly-owned subsidiaries
the debtors were represented jointly by the law firms of Van
Cott, Bagley, Cornwall i McCarthy and Gendel, Raskoff, Shapiro
and Quittner.
