~, <br />reviewing all pleadings to be filed in these chapter 11 <br />cases; <br />(7) Advising Debtors concerning, and preparing responses <br />to, applications, motions, pleadings, notices and other <br />papers which may be filed and served in these chapter <br />11 cases; <br />(8) Counseling Debtors in connection with the formulation, <br />negotiation and promulgation of a plan of <br />reorganization and related documents; and <br />(9) Performing all other legal services for and on behalf <br />of Debtors which may be necessary or appropriate in the <br />administration of these chapter 11 cases and their <br />businesses. <br />C. Debtors require knowledgeable counsel to render the <br />above-described essential professional services. LeBoeuf has <br />substantial pension, real estate, corporate, tax, finance, <br />litigation and bankruptcy experience, is familiar with the <br />businesses and financial affairs of Debtors, and is well <br />qualified to represent their interests in these cases; <br />D. Subject to this Court's approval, LeBoeuf will charge <br />Debtors for its legal services on an hourly basis in accordance <br />with its ordinary and customary hourly rates in effect on the <br />date services are rendered as set forth in the Application. <br />LeBoeuf will maintain detailed records of any actual and <br />necessary or appropriate costs and expenses incurred in <br />connection with the aforementioned legal services; <br />E. On November 6, 1990, LeBoeuf received a retainer in the <br />amount Of $300,000 from CF&I Steel Corporation, the parent <br />company of all other Debtors involved in this jointly <br />administered proceeding. The retainer will be applied on account <br />of legal fees and expenses incurred in representing the Debtors <br />in connection with these chapter 11 cases. During the one year <br />
