Debtors contemplate that LeBoeuf wil]. <br />general legal services to Debtors as needed throughout the co. <br />of these chapter 11 cases, including pension, real estate, <br />corporate, tax, finance, litigation and bankruptcy assistance and <br />advice. Such legal services will include: <br />(1) Advising Debtors of their rights, powers and duties as <br />debtors and debtors in possession continuing to operate <br />and manage their businesses and properties; <br />(2) Advising Debtors with respect to pension and labor <br />related issues including negotiations with the Pension <br />Benefit Guaranty corporation and with unions as to <br />collective bargaining agreements; provided, that, if at <br />any time any pension plan maintained by any Debtor is a <br />claimant against such Debtor, LeBoeuf will not <br />represent the Plan for purposes of prosecuting any <br />claim against the Debtor by any such Plan; <br />(3) Advising Debtors concerning, and assisting in the <br />negotiation and documentation of, financing agreements, <br />debt restructuring, and related transactions; <br />(4) Reviewing the nature and validity of liens asserted <br />against the property of Debtors and advising Debtors <br />concerning the enforceability of such liens; <br />(5) Advising Debtors concerning the actions that they might <br />take to collect and to recover property for the benefit <br />of Debtors' estates; <br />(6) Preparing on behalf of Debtors all necessary and <br />appropriate applications, motions, pleadings, draft <br />orders, notices, schedules and other documents, and <br />
