hours during that calendar month, the Corporation shall pay Craft Eight-Five Dollars <br />($85.00) per hour for each hour in excess of thirty-five (35) hours. <br />3.2 Benefits. Craft h n be entitled to participate in any fringe benefit, <br />medical or life insurance, bonus, compensation, retirement, stock option, pension or similar <br />or other plan sponsored by the Corporation during the Term of this Agreement. <br />4. TFme Devoted by Craft. During the Term of this Agreement, Craft shall devote <br />such time and effort as shall reasonably be necessary to provide the services described in this <br />Agreement. The parties acknowledge that the particular amount of time may vary from day <br />to day and from week to week, and shall be within Craft's control. <br />S. TFme Records. During the Term of this Agreement, Craft shall maintain accurate <br />and complete records of the time he has devoted to the service of the Corporation and shall <br />provide such records to the Corporation on the last business day of each month. <br />6. Independent Contractor. The Corporation and Craft agree that during the Term <br />of this Agreement, and in the performance of the services to be provided by Craft, he shah <br />at all times act and perform as an independent contractor. Craft shall not be an employee of <br />the Corporation for any purpose. Craft shall be solely responsible for the payment of all <br />taxes, withholding payments, penalties, fees, fringe benefits, and contributions to insurance <br />and pension or other deferred compensation plans (including without limitation workers' <br />compensation and FICA obligations), etc, with respect to compensation payable under this <br />Agreement, and for the filing of all necessary documenu, forms and returns pertinent to the <br />foregoing. Craft shall not bring any claim and shall hold the Corporation harmless and <br />provide the Corporation with a defense against any claim that the Corporation is responsible <br />for the payment or filing of any of the foregoing payments, withholdings, contributions, <br />taxes, and documents and returns with respect to such compensation, including, without <br />limitation, FICA taxes and employer income tax withholding obligations. <br />T. Reimbursement of Expenses. The Corporation shall reimburse Craft for out-of- <br />pocket expenses directly and reasonably incurred by Craft in the ordinary course of providing <br />the services required by this Agreement, upon presentation to the Corporation of an invoice <br />therefor together with such supporting documents as the Corporation may reasonably request. <br />8. Court Approval. The parties acknowledge and agree that the this Agreement and <br />the Corporation's obligations hereunder shall be subject to approval by the Court. <br />9. Canfrdential Injormation. Craft agrees that any information received by Craft <br />during any furtherance of Craft's obligations in accordance with this Agreement which <br />concerns the personal, financial or other affairs of the Corporation and which is designated <br />by the Corporation's Responsible Officer or the Reorganized Creditors' Committee as <br />confidential will be treated by Craft in full confidence and will not be revealed to any other <br />persons, firms or organisations. <br />-2- <br />
