iii iiiiiiiiuiii iii , ,- ~_~: <br />999 <br />l ., ~~ y <br />Consulting Agreement ,... ~, <br />,..,.:r, ~~s d :;eo., <br />TrIIS CONSULTWG AGREEMENT (this "Agreement"), is entered into as of the _ day <br />of March, 1993, between REORGANIZED CF&I STEEL CORPORATION, a Colorado corporation <br />(the "Corporation"}, and ROx CRAFT, an individual ("Craft"). <br />Recitals <br />A. The Corporation is the "Reorganized Debtor" (as that term is defined in the <br />Debtors' and Railroad Trustee's First Amended and Restated Joint Plan of Reorganization <br />dated December 1, 1992 (the 'Ptan'~) of CF&I Steel Corporation. <br />B. Prior to March 3, 1993, Craft was employed by the Corporation as its Chief <br />Financial Officer. <br />C. Craft has since left the employ of the Corporation. <br />D. The Corporation believes that the services of Craft will be of substantial value to <br />the Corporation in connection with implementing the Plan, and desires to retain Craft's <br />services, upon the terms and subject to the conditions set forth in this Agreement. <br />E. Craft is willing to provide such services upon such terms and subject to such <br />conditions. <br />AEreement <br />In consideration of the recitals listed above, and of the terms and mutual covenants set <br />forth below, and for other good and valuable consideration, the receipt and sufficiency of <br />which the parties hereby aclmowledge, the parties hereby agree as follows: <br />1. Consultation Services.' The Corporation hereby retains Craft as a consultant to <br />consult with and advise the Corporation, any of the other Reorganized Debtors (as defined in <br />the Plan), the Reorganized Creditors' Committee, the Responsible Officer, and their advisors <br />on such matters pertaining to the Reorganized Debtors and the Plan as any of them may from <br />time to time request. <br />2. Terns. The term of this Agreement (the "Term") shall commence on the date First <br />written above, and shall continue for three (3) calendar mdhths. <br />3. Compensation. <br />3.1 Compensation. During the term of the Agreement, the Corporation shall <br />pay to Craft Three Thousand Dollars ($3,000.00) per month on the last business day of each <br />month.
