5. Responsible Officer. The 'Responsible Officer" shall <br />be an individual selected by the Reorganized Creditors' <br />Committee. The Responsible Officer shall serve until removed by <br />the Reorganized Creditors' Committee or until his or her earlier <br />death or resignation. The initial Responsible Officer shall be <br />Frank J. Yaklich, Jr. Subject to approval of the Court, the <br />Reorganized Debtors may enter into a contract with the <br />Responsible Officer on such terms and with such conditions as the <br />parties thereto may agree. <br />6. Duties of Responsible Officer. The Responsible Officer <br />shall be the chief executive officer of each of the Reorganized <br />Debtors and, subject to the direction and control of the <br />Reorganized Creditors' Committee, shall supervise and control the <br />day-to-day operations and decisions affecting each of the <br />Reorganized Debtors. <br />7. Manavement of PBGC Litigation. The Plan provides that <br />a fund of 5750,000 (the "PBGC Litigation Fund") shall be created <br />to pay the attorneys' fees and expenses incurred in contesting <br />the claims of the PBGC on appeal, which appeal is the subject of <br />the PBGC Appeal Funds. The Debtors, the Unsecured Creditors and <br />the USWA each contest rulings with respect to the PBGC claims. <br />In order to fund the litigation expenses, the Reorganized Debtors <br />shall, subject to approval of the Court, authorize payment for <br />and/or reimburse counsel for the ordinary, necessary and <br />reasonable litigation expenses incurred in contesting the appeal <br />of the PBGC.
