Contractor shall pay all sales, consumer, use and other similar taxes <br />which are legally enacted on the transaction which is the subject of this <br />Agreement, whether or not yet effective or merely scheduled to go into effect, <br />sad shall secure and pay for any required building permit and all other permits <br />and governmental fees and charges, licensee, inspections and tests necessary or <br />required for proper execution and completion of the Work. <br />Contractor shall fully comply with and give all notices required by <br />laws. ordinances, rules, regulations and lawful orders of public authorities, as <br />well as all changes to such laws, ordinances, rules, regulations and lawful <br />orders, bearing on performance of the Work. <br />Contractor shall be responsible to Owner for the acre and omissions of <br />Contractor's agents and employees, subcontractors and their agents and employ- <br />ees, and all other persons performing portions of the Work under a contract or <br />other agreement with Contractor. <br />Contractor shall keep the Property free from accumulation of waste <br />materials or rubbish caused by operations under this Agreement and shall regu- <br />larly clean work areas of all trash and debris. At the completion of the Work, <br />Contractor shall promptly remove from the Property all waste materials, trash, <br />rubbish, tools, equipment and machinery except that Contractor may leave in <br />place the concrete foundations upon which the Loadout Facility presently rests. <br />Contractor shall provide Owner full access to the Work in preparation <br />and progress at any time. <br />To the fullest extent permitted by law, Contractor shall indemnify and <br />hold harmless Owner and Owner's consultants, agents and employees, or any of <br />them, from and against any and all claims, damages, losses and expenses, includ- <br />ing, but not limited to, attorney's fees and expenses, arising out of, relating <br />to, or resulting from performance of the Work or any portion thereof, or perfor- <br />mance of the requirements of this Agreement. <br />Contractor shall promptly repair at its expense any and all damage <br />which it may cause to the Property, or any part thereof, during the course of <br />its performance of the Work. <br />Contractor shall not interfere in any manner with Eilta' ranching <br />operation on the Property or Eilte' access to any part of the Property. <br />-3- <br />,:;... . <br />+,*a: <br />
