Contractor shall pay all sales, consumer, use and other similar taxes which are legally enacted on the transaction which is the subject of this Agreement, whether or not yet effective or merely scheduled to go into effect, sad shall secure and pay for any required building permit and all other permits and governmental fees and charges, licensee, inspections and tests necessary or required for proper execution and completion of the Work. Contractor shall fully comply with and give all notices required by laws. ordinances, rules, regulations and lawful orders of public authorities, as well as all changes to such laws, ordinances, rules, regulations and lawful orders, bearing on performance of the Work. Contractor shall be responsible to Owner for the acre and omissions of Contractor's agents and employees, subcontractors and their agents and employ- ees, and all other persons performing portions of the Work under a contract or other agreement with Contractor. Contractor shall keep the Property free from accumulation of waste materials or rubbish caused by operations under this Agreement and shall regu- larly clean work areas of all trash and debris. At the completion of the Work, Contractor shall promptly remove from the Property all waste materials, trash, rubbish, tools, equipment and machinery except that Contractor may leave in place the concrete foundations upon which the Loadout Facility presently rests. Contractor shall provide Owner full access to the Work in preparation and progress at any time. To the fullest extent permitted by law, Contractor shall indemnify and hold harmless Owner and Owner's consultants, agents and employees, or any of them, from and against any and all claims, damages, losses and expenses, includ- ing, but not limited to, attorney's fees and expenses, arising out of, relating to, or resulting from performance of the Work or any portion thereof, or perfor- mance of the requirements of this Agreement. Contractor shall promptly repair at its expense any and all damage which it may cause to the Property, or any part thereof, during the course of its performance of the Work. Contractor shall not interfere in any manner with Eilta' ranching operation on the Property or Eilte' access to any part of the Property. -3- ,:;... . +,*a:
