- 26 - <br />3.9 through 3.19 of this Agreement, no credits or offsets <br />will be allowed for any taxes paid by Deseret or Western- <br />Utah, or for any taxes reasonably and accurately attribut- <br />able to the project-related population, or for any other <br />taxes or fees or other revenues received by the Governmental <br />Entities. Western-Utah and Deseret, through western-Utah, <br />thus agree that the obligations set forth in paragraphs 3.9 <br />through 3.19 of this Agreement will become, upon execu- <br />tion of this Agreement, unconditionally due and payable <br />in accordance with the terms of paragraphs 3.9 through <br />3.19 of this Agreement, provided, however, that should, <br />as a result of the efforts of Western-Utah, the Town of <br />Rangely or the School District receive subsequent to <br />execution of this Agreement any grant or other form of <br />financial assistance to undertake the capital expansion <br />contemplated by paragraphs 3.9 and 3.10 of this Agreement <br />(for the Town of Rangely) or by paragraphs 3.15 and 3.16 <br />„ of this Agreement (for the School District) and such grant <br />or other form of financial assistance can be attributed in <br />part, but not in whole, to the presence of project-related <br />or induced population growth or project-related activities, <br />a credit will be given by the Town of Rangely or the School <br />District, as appropriate, to Western-Utah for the portion <br />of that grant or other assistance reasonably attributable <br />to the project-related or induced growth or activities. <br />ARTICLE IV <br />OPERATION AND MAINTENANCE <br />4.1 Western-Utah and Deseret recognize that as a <br />result of the Project, many of the Governmental Entities <br />will not receive sufficient additional revenues to offset <br />
