It i.s :cepresented by i.he <br />Sellers that the real property described on lixhibi.t n com- <br />prises a total of not less t.hat~ 36 acres of l.and• The <br />Sellers, at Sellers' sole expense, shall cause the bound- <br />aries of said property as described on Exhibit A to be <br />surveyed by not later than Febru::r.y 6 1980, and in the <br />event such survey discloses that the total acreage located <br />within the boundaries of said property as described on <br />Exhibit A is less than 36.0 acres, the purchase price for <br />said property shall be equitably abated at the rate of <br />$1,000.00 per acre on the difference between 36.0 acres and <br />the number of acres determined by survey. In the event said <br />survey discloses the total number of acres of said lands <br />located within the boundaries of said property as described <br />on Exhibit A to exceed 36.0 acres, there shall be a corre- <br />sponding increase in the total purchase price; provided, <br />however, that in no event shall Sellers be required to sell <br />lass than 35.0 acres of land and in no event shal].13uyer.s be <br />required to purchase more than 3?.0 acres of land. An;~ <br />adjustments to total purchase price for said property sha).l. <br />be made by an appropriate and corresponding increase or <br />decrease in the amount of the promissory note described in <br />Paragraph 2c, hereof. <br />8. Sellers' Representations and i4arranties. The <br />Sellers represent and warrant as of the date hereof and a, <br />of the date of the closing that the following are true and <br />correct: <br />a. That neither the execution of this agreement <br />nor the consummation of the transactions provided f:or. <br />herein constitutes, or will result in, any breach of <br />any terms, conditions or provisions of, or constitute a <br />default under, any mortgage, loan agreement, lien, <br />lease, judgment, decree, order, instrument or other <br />verbal or written agreement to which Sellers are a <br />party or are subject or to which the property is sub- <br />ject, except as provided for herein. <br />-8- <br />
