c. MI VIDA may specify modifications to the circuit if such <br />modifications would return the circuit to its set-up as the same <br />existed on October 1, 1990. COM, INC. has agreed, on written 30-day <br />request notice of MI VIDA, in preparation for commencement of MI <br />VIDA milling run, to make modifications to its milling circuit for the <br />processing of MI VIDA's ores, or to return the circuit to its set-up as <br />the same existed, October 1, 1990 design (Exhibit E). <br />d. COM, INC. will maintain security for all locked gold traps. <br />concentrate storage areas and concentrates, and shall advise MI VIDA <br />in writing of such security practices. Except as provided at (e) below, <br />MI VIDA shall have sole access to all locked gold traps, concentrate <br />storage areas and concentrates. All recovered concentrates shall be in <br />locked, fully secured areas. <br />e. MI VIDA shall tender to COM, INC. in writing a list of <br />designated agents authorized to have access to gold traps at <br />concentrate storage area. MI VIDA may amend its list from time to <br />time. In the event MI VIDA and its designated agents fail to timely <br />clean locked gold traps so as to inhibit mill operation or production <br />after due notice from COM, INC., then and only then, COM, INC. may <br />clean the traps and move the concentrate to a secured storage area. <br />MI VIDA's designation list shall contain at least three (3) phone <br />numbers where MI VIDA can be given notice of threatened overfilling <br />in the event notice cannot be delivered to a MI VIDA agent on site. <br />f. MI VIDA shall be responsible for supervision of the placement <br />of concentrates in barrels or other shipment containers, as such con- <br />centrates are delivered from the gravity concentration bins and the <br />disc filter portions of the Mill circuit. It shall be the responsibility of <br />MI VIDA to have its representative present during such operations. <br />g. Concentrates shall be released by COM, INC. from the Mill <br />into the possession of MI VIDA for shipment upon payment by MI <br />VIDA to COM, INC. of the final one-half of the base charge applicable to <br />such concentrates. <br />h. COM, INC. shall select a mill manager with experience in the <br />precious metals milling business and with a reputation for competence <br />and integrity in that profession or business.
