' _ _ .. • ~ 1 <br />(a) In consideration of the payment of $250,000 to <br />the Trustee and the retention of the cash sums now in <br />possession of the Trustee, and the retention of aII sums <br />that are in banks attributable to debtor CCDC, and in <br />further consideration of the Metropolitan District handling <br />~. the administration of the lot trade program as hereinafter <br />defined, the Trustee shall convey, assign, and transfer to <br />the Metropolitan District all land situated in Pueblo <br />County, Colorado, legal title to which is in CCDC's name. <br />The conveyance by the Trustee to the Metropolitan District <br />shall include all titles possessed by the Trustee or debtoc <br />CCDC herein, including all water rights, mineral rights, <br />equitable and legal titles. The conveyance by the Trustee <br />of real property to which both legal and equitable title <br />are held by CCDC shall be free of all liens, assessments <br />and encumbrances, including all tax liens of every <br />description. The conveyance by the Trustee of all real <br />property to which only legal title is held by CCDC shall be <br />subject to all liens, assessments and encumbrances, <br />including all tax liens of every description. Addition- <br />ally, the Trustee shall assign to the Metropolitan District <br />all of debtor CCDC's rights arising under executory <br />contracts for the purchase of residential lots in Colorado <br />City, Colorado, and all of debtor CCDC's rights arising <br />under contracts Eor water and sewer availability. <br />JOINT MOTION TO AUTHORIZE SALE OF REAL PROPERTY <br />OF THE ESTATE FREE AND CLEAR OF ALL LIENS, CLAIMS <br />8ND ENCUMBRANCES AND SETTLEMENT AGREEMENT - Page 5 <br />
