(b) Coors shall be responsible for and shall obtain (and shall <br />pay the cost of obtaining) any and all permits necessary to the <br />completion and consummation of this Agreement, including without <br />limitation, all permits necessary to the dismantling and removal of <br />the Assets. Universal will obtain (pay for) and bear responsibility <br />' for any and all "road" permits necessary to the removal of the <br />Assets from the Keenesburg Mine. <br />§9. Insurance and Indemnification. Universal assumes the risk <br />of all injuries, including death resulting therefrom, to all persons <br />including its subcontractors, agents, employees, servants, and any <br />member of the public, and damage to and destruction of property by <br />whomsoever owned including loss of use thereof and any other <br />indirect or consequential damages, resulting directly or indirectly, <br />wholly or in part, from the prosecution of any work or obligation <br />undertaken or required of Universal by this Agreement, unless caused <br />solely by the negligent acts or omissions of Coors, its employees, <br />servants, agents, or representatives, and to indemnify and save <br />Coors and its subsidiaries or associated companies and their agents, <br />servants, and employees harmless from and against any and all <br />liability arising therefrom, including all expenses, legal or <br />otherwise, incurred by them in the investigation, defense, and <br />settlement of any claim, or suit; provided, however, that in the <br />event any such person injured or killed is an agent, servant, or <br />employee of Universal, or its subcontractors, Universal will <br />indemnify and save Coors and its other subsidiaries or associated <br />companies and their agents, servants, and employees harmless <br />therefrom whether such injury or death be caused by their negligence <br />or breach of duty, stathtory or otherwise, or by others including <br />Universal, its agents, servants, and employees. <br />Universal shall secure before commencing and shall maintain <br />during the performance of the dismantling and removal work <br />(A) Comprehensive General Liability Insurance with the minimum <br />Bodily Injury Limits of $1,000,000 each occurrence and Property <br />Damage Limits of $100,000 each occurrence; (B) Automobile Liability <br />Insurance with minimum Bodily Injury Limits of $1,000,000 each <br />occurrence and Property Damage Limits at $50,000 each occurrence; <br />(C) Statutory Workmen's Compensation and Occupational Disease <br />Disability Insurance; and (D) Employer's Liability Insurance with <br />Limits at $25,000 each occurrence. Universal shall also furnish to <br />Coors evidence of such insurance coverage in the form of <br />Certificates of Insurance, together with evidence that the insurance <br />carrier has assumed the liability of Universal hereunder either by <br />furnishing to Coors a properly executed "Assumption of Contractual <br />Liability" endorsement or by Certificate of Contractual Liability <br />Insurance. All Certificates of Insurance shall stipulate that Coors <br />will be given ten (10) days written notice prior to any change, <br />substitution, or cancellation prior to the normal expiration date. <br />Universal warrants that it will comply with all applicable <br />laws, rules, or regulations. Universal agrees to indemnify and hold <br />Coors harmless for any expenses, including legal fees and fines, <br />resulting from universal's failure to comply with said laws, rules, <br />or regulations. <br />- 4 - <br />
