G <br />§5. Access to Property/Ingress-Egress. Coors shall allow <br />Universal unlimited ingress and egress to the Tipple Complex site <br />during all regular working hours. Universal agrees to use only <br />those roads or rights-of-way designated by Coors for ingress and <br />egress provided such does not unreasonably restrict or impair <br />Universal's ingress and egress to the Tipple Complex site. In the <br />event Universal requires or desires access to the Tipple Complex <br />site during other than regular working hours, Universal shall <br />contact the manager of the Keenesburg Mine site who upon reasonable <br />notice will provide Universal with access to the Tipple Complex <br />site. <br />§6. Environmental. The parties hereto agree that Universal <br />will not be responsible for the handling, removal, loading, or <br />disposal of any existing material or substance classified as <br />hazardous or toxic by any local, state, or federal statute, rule, or <br />regulation, including materials such as asbestos and PCB- <br />contaminated oils. Subject to the limitation of the preceding <br />sentence, Universal will be responsible for compliance, and liable <br />for non-compliance with any environmental law, rule, or regulation <br />which is applicable to Universal's dismantling, storage,. and removal <br />activities at the Tipple Complex site. Coors agrees to indemnify <br />and hold Universal harmless from and against any liability, claim, <br />damage, judgement, lien, legal fees, or other loss incurred by <br />Universal resulting from some environmental condition, substance, or <br />material being present on or about the Tipple Complex site prior to <br />the commencement of activity by Universal as contemplated by this <br />Agreement. <br />§7. Property Maintenance: Utilities. <br />(a) Coors agrees to provide the Tipple Complex site with snow <br />removal and road maintenance services as needed such that <br />Universal's ingress and egress to the Tipple Complex site is not <br />impeded or restricted by poor road conditions. In addition, Coors <br />will provide and maintain sufficient and adequate fire prevention <br />and fire extinguishing water to service the Tipple Complex site. <br />Universal will not require that any other utility services be - <br />furnished by Coors to the Tipple Complex site. <br />(b) Universal will provide sanitary and bathroom facilities as <br />needed to all of its employees and agents working on the Tipple <br />Complex site and will provide any utility services which it requires <br />on the Tipple Complex site. .- <br />§8. Instrument of Conveyance and Transfer: Permits. <br />(a) At the point in time when the various components of the <br />Assets (i.e., crusher, conveyors, dust collectors, etc.) have been <br />dismantled and removed from the Tipple Complex site and are prepared <br />to leave the Keenesburg Mine, Coors will prepare and deliver to <br />Universal a Bill of Sale for said components in a form as attached <br />(Exhibit "B"). Said Bill of Sale will be delivered by Coors to <br />Universal within five (5) days after Coors' receipt of a written <br />request therefor. <br />- 3 - <br />
