<br />iri{„t,,,e+~ This action effectively severed ownership of the mill from <br />~,at,tt ownership of the mines. <br />i.~,a..~=..~~ <br />%^' ~ from <br />v~ <br />G~y,~ <br />~ ~~ <br />~,e <br />For the next several years, 1•Yasers_were_effectivety_pre-ve-nt€~ ~-- <br />operating the mill by the fact the combined mine/mill permit ~M1<<"m <br />-retained-by Gold-Hill-lVIining Co. as amended by misnaming the <br />iittee in-the 1985 revision designating non-existent Gold Hill <br />Frasers explored all avenues open to them to cause their <br />considerable financial stake to be released from its captive status and <br />through agreement with Mi Vida (Steen family corporation) and Gold <br />Hill Ventures (Mi Vida and Cosmos) to place mill in operation. <br />On or about early November, 1990, Steens, through their <br />attorney John Henderson, presented to and COM, Inc., (successor mill <br />owner to Fraser), received from Steens a proposed draft priority <br />milling contract. <br />This milling contract was concluded on February 13, 1991, <br />Clayton "Swede" Johnson, attorney representing COM, Inc., and John <br />Henderson, attorney representing Mi Vida/ Steens. <br />Important features of this milling contract are that Mi Vida <br />~d~ clearly presented to COM, Inc. an operational disposition of properties <br />+~` ~~~~D ~ recognizing COM, Inc. would make productive use of mill when not <br />,Y~ ;c milling ores delivered by Mi Vida under priority terms of agreement. <br />~R~M <br />Negotiated terms of agreement excluded any commitment Mi <br />Vida be required to deliver ore for milling. -For=the=lifc~of agreement it <br />was explicitly recognized and by~~lear implication-CdM, Inc. would <br />operate mill by milling ores from other_thai~-Nli-Vida. Steen or Gold <br />Hill sources. L~ ~.~ w~.~!,..;ol <br />In furtherance of express provisions of this priority milling <br />agreement, on June 7, 1991, permittee Gold Hill Mining Co., by <br />Charles A. Steen, President of Mi Vida, joint venture partner of Gold <br />Hill Mining Co., applied for transfer of mineral Permit No. M-83-141 <br />and designation of successor operators. <br />Designated successor operators and permittees were then <br />identified as Gold Hill Ventures and Colina Oro Molino, Inc. (COM. <br />Inc.). This transfer and succession was approved as of October 18, <br />1991 and thereby Permit No. M-83-141 was amended to read as <br />follows: <br />"Owners of record of affected land -- Gold Hill Ventures and Colina <br />Oro Molino.
