(COM, Inc.), the following is submitted. <br />August, 1983, Permit No. M-83-141, was approved and issued by <br />MLRB to permittee, Gold Hill Mining Co. <br />On July Z0, 1985, Mark A. Steen, for Gold Hill Ventures, made <br />~~~tApplication for Mining and Reclamation Permit No. M-83-141. Name <br />of the operation was amended to include Gold Hill Ventures' mill, <br />Applicant/operator designated on permit was~amed Gold Hill - _ _ _ <br />Ventures Limited Partnership. , <br />Owner of record of affected land was declazed to be Gold Hill <br />Ventures Limited Partnership. <br />Owner of minerals to be mined was declared to be Gold Hill <br />Ventures Limited Partnership. <br />As of that date, July 20, 1985, Gold Hill Ventures was a general <br />partnership between Mi Vida Enterprises, Inc., a Utah corporation <br />("Mi Vida") and Cosmos Resources, Inc., a Canadian corporation <br />headquartered in Vancouver, B.C. ("Cosmos"). <br />Gold Hill Ventures Limited Partnership was an unformed, <br />prospective unincorporated association among Mi Vida and Cosmos <br />and Richard and Gwen Fraser ("Fraser"). This association was <br />proposed by Mi Vida and the Steen family but not accepted by Fraser <br />and remained unformed. <br />The permit (M-83-141), as amended in 1985, among other <br />things, set forth the following: <br />'The mill will not accept or process third party or custom ore <br />on a toll milling or contract basis." <br />At page 6 under heading Milling Plan/Mill Site, it is stated at <br />sub-paragraph 4 as follows: <br />'The mill will not be operated as a custom mill facility and it will <br />not process ores on a toll basis for other mining operations." <br />The foregoing permit as amended then in place, Steens and <br />their family corporation, Mi Vida, deeded the mill to Fraser on January <br />26, 1986 conveying to Richard and Gwen Fraser the Oscar and Good <br />Enough Lode mining claims together with improvements and water <br />rights to the Left Hand Ditch water source. <br />4 <br />
