24-Jul-2007 10:44 AM Asphalt Paving 3032796216 <br />in exchange for Alpine Rock's payment to Owners of $34,339.00, which assignment is to be <br />formalized by the issuance of a DRMS Succession of Operator regarding the Property to <br />Owners; and <br />WHEREAS, failure of the parties to resolve Reclamation Permit problems could result hz <br />enforcement actions by DRMS against the Reclamation Permit that the Parties all desh~e to <br />avoid. <br />NOW, THEREFOR);, in consideration of the foregoing recitals, which are hereby <br />incorporated into the body of the Agreement below, and for such other consideration the receipt <br />and sufficiency of which is hereby acknowledged, the undersigned parties agree as follows: <br />A. Right of);ntry. <br />1. Alpine Rock has a legal right-of--entry from the date fast written above until November <br />30, 2007, to conduct and supervise mining and reclamation operations, to enforce related <br />agreements, and to otherwise satisfy mining and reclamation standards under Regular 112 <br />Reclamation Permit M-1993-035. Alpine Rock shall not remove any materials from the <br />site without to a separate agreement regarding royalties. Owners must approve any <br />delivery or storage of additional materials to the site. <br />2. Owners aze hereby authorized to enter the Property, or to authorize others to enter the <br />Property, at any time to conduct site reclamation activities on the Property. Owners site <br />reclamation activities on the Property conducted hereunder shall meet or exceed the <br />reclamation requirements provided in the Reclamation Permit. <br />3. At any time Owner(s) perform(s) earthnroving operations or reclamation related acfivities <br />on the Property, Owners assume responsibility for these operations under the <br />Reclamation Permit for M-1993-035. Owners will notify Alpine Rock, at any time when <br />Alpine Rock is still the permit holdez, of any substantial deviation from the Reclamation <br />Permit then in force; Alpine Rock may refuse to consent to deviations from current plans <br />not previously reviewed and approved by DRMS. <br />B. Succession of Operator. <br />1. The Parties shall cooperate in making all reasonable efforts to facilitate the timely <br />processing of a Transfer of Minercil Reclamation Permit and Succession of Operators <br />Application Package ("Succession of Operator"} regarding the Reclamation Permit with <br />the DRMS, which Succession of Operator shall provide for Owners' relieving Alpine <br />Rock of its Reclamafion Permit specified site reclamation responsibilities; and <br />2. Prior to the submission of an application fox issuance of a Succession of Operator to <br />Owners regazding the Reclamation Permit, Alpine Rock will process an acreage <br />reduction with the DRMS that limits the Reclamation Permit's applicability to only the <br />portion of the original Reclaznation Permit property owned by Owners. <br />3. Prior to the submission of an application for issuance of a Succession of Operator to <br />Owners regazding the Reclamation Permit Alpine Rock will resolve all outstanding issues <br />in the DBMS letter of April 16, 2007. The parties therefore acknowledge that a <br />commitment to seek Technical Revision of the Reclamafion Permit concerning water <br />3/6 <br />
