<br />administrative charges of Contractor. The Contract Price shall be the maximum amount <br />payable to Contractor for the Work (including all hourly charges, all expenses, and all <br />profit), unless Contractor has requested and BMRI has authorized in writing an increased <br />amount. <br />In the event that the amount payable hereunder (on the ba_vis of amounts <br />invoiced and work i^ progress) reach a total amount of $25,000, then Contractor shall <br />immediately provide written notice to both DMG and BMRI setting forth it best estimate <br />of the charges necessary to complete the work specified in Attachment A Should <br />Contractor anticipate exceeding the total Contract Price, such notice shall include a request <br />for a Change Order stating in detail the basis therefor and Contractor's best estimate of the <br />number of hours and additional expenses the Contractor will require to complete the Work. <br />If a request is made but not accepted, Contractor shall not be obligated to continue <br />providing services once the authorized amount has been expended, unless BMRI, after <br />consulting DMG, notifies Contractor that the requested increased amount is not authorized <br />because Contractor performed its services improperly. In such event, BMRI, after <br />consulting with DMG, shall state its reasons and the parties shall use their best efforts to <br />negotiate a resolution to the matter as soon as possible. If BMRI and Contractor agree <br />upon a modification to such Contract Price, a Change Order shall be issued with respect <br />thereto. If the parties do not agree upon a modification, this Agreement shall terminate <br />pursuant to Article 8 of this Agreement. <br />-6- <br />
